Template
Conduct a legal due diligence review of the target in {target_context} for the transaction contemplated, prioritizing by deal-killing potential. (1) Frame the review around the deal: what is being acquired (assets, equity, a specific right), because that determines which liabilities transfer and therefore what diligence actually matters — buying assets versus buying the entity changes everything. (2) Verify existence and authority first: is the target validly organized, does the counterparty have authority to transact, and who actually owns what's being sold? A defect here voids the deal. (3) Review the material contracts for change-of-control and assignment clauses that could terminate key agreements on closing, plus any exclusivity or non-compete that constrains the buyer. (4) Surface the liabilities: litigation (pending and threatened), regulatory actions, tax exposure, employment claims, and environmental — and distinguish disclosed from discovered, since the gap is where the risk hides. (5) Confirm the target actually holds the assets central to the deal's value — IP ownership, clear title, valid licenses — rather than merely using them. (6) Rank findings by whether they kill the deal, warrant a price adjustment or indemnity, or are routine, and note that diligence scope and materiality require a transactional attorney's judgment; this framework guides, it does not replace, that review.
